Terms

The agreement covering use of Sheaf: what we undertake to do, what you retain, and the limits on both.

Who you are contracting with

These terms are between you and Sheaf Software Services, a Delaware corporation, registered office 1007 N. Orange Street, 4th Floor, Wilmington, DE 19801, United States. They are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles, with disputes heard in the state and federal courts located in Wilmington, Delaware.

The service

Sheaf reads documents you upload, divides multi-document files into documents, matches them against requirements you define, extracts values, and records the decisions taken about them. We will provide the service with reasonable skill and care and in accordance with the documentation and the applicable order form.

Your data stays yours

You retain all rights in the documents you upload and the values extracted from them. We claim no ownership of customer content, and we do not use it to train models. We process it only to provide the service, on your instructions, as described in our privacy policy and any data-processing agreement between us.

You are responsible for having the right to upload what you upload, including where documents contain personal data belonging to third parties.

What the output is, and is not

Read this one

Sheaf produces an extraction and an assessment of completeness. It does not produce legal, financial, tax, lending, underwriting or compliance advice, and its output is not a substitute for professional judgement or for a regulated decision made by a qualified person.

The product is built to make its output checkable — every value carries the page it came from, and it abstains rather than inventing an answer. It is not built to be relied upon unchecked in decisions with legal or financial consequences, and nothing in it removes your obligation to review.

Acceptable use

  • Do not upload content you have no right to process.
  • Do not use the service to build a competing product, or to benchmark it for publication, without written consent.
  • Do not attempt to circumvent access controls, rate limits, or tenant separation.
  • Do not use the service where failure would foreseeably cause death, personal injury, or comparable harm.

Availability and support

Target availability, planned maintenance windows and support response times are set out in the applicable order form; no separate service level agreement applies to standard subscriptions. Evaluation and trial use is provided as-is with no availability commitment.

Fees

Fees, billing period, usage metering and payment terms are set out in the applicable order form. Pricing changes take effect at the start of the next renewal term, on at least 30 days' written notice. Late payment: invoices are payable within 30 days of the invoice date, and overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

Confidentiality

Each party will protect the other's confidential information with at least the care it applies to its own, and will use it only to perform under this agreement. Customer documents are your confidential information in all cases.

Warranties and liability

Other than as expressly stated, the service is provided without warranties to the fullest extent permitted by law. Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Subject to that, aggregate liability is capped at the total fees paid or payable in the 12 months preceding the event giving rise to the claim, and neither party is liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings.

Termination and what happens to your data

Either party may terminate for material breach not remedied within 30 days, or for convenience on 60 days' notice. On termination you may export your data for 30 days, after which it is deleted in line with our retention policy.

Changes

We may update these terms; material changes will be notified by email to the account's registered administrators and by a notice on this page at least 30 days before they take effect. This page was last updated on 30 August 2026.
